to Merge with Nalco

NAPERVILLE, Ill. (Dow Jones)--Nalco Chemical Co.'s (NLC) shareholders approved the merger of Nalco and a unit of Suez Lyonnaise des Eaux (F.SLX).

Terms weren't disclosed.

In a press release Monday, Nalco said the merger completes Suez Lyonnaise's acquisition of Nalco.

As reported in July, Suex Lyonniaise began a cash tender offer for Nalco's common shares at $53 a share.

Suez Lyonniase, which supplies drinking water and wastewater services, had annual revenue of $32.5 billion.

Nalco Chemical, with 1998 sales of $1.57 billion, makes water treatment and process chemicals, services and systems.
